Advance NIL Educational Services Agreement

This Educational Services Agreement (“Agreement”) is entered into by and between Advance NIL (“Advance NIL,” “we,” “us,” or “our”) and the individual or entity purchasing or accessing Advance NIL educational content (“Participant,” “you,” or “your”).

By purchasing, enrolling in, or accessing any Advance NIL course, webinar, replay, or related materials, you agree to the following terms:

1. Scope of Services

Advance NIL provides educational content, training, and informational resources related to Name, Image, and Likeness (NIL), personal branding, decision-making, and athlete development.

All services are educational in nature only and do not constitute legal, tax, financial, or compliance advice.

2. Intellectual Property & Content Protection

All content provided by Advance NIL, including but not limited to:

Videos
Slides
Worksheets
Frameworks
Assessments
Written materials
Recorded webinars and replays are the exclusive intellectual property of Advance NIL.

You agree that you will not:

Copy, reproduce, distribute, share, sell, sublicense, or publicly display any content
Record, screen capture, or rebroadcast content
Use content for commercial, institutional, or third-party training purposes
Upload content to shared drives, learning platforms, or social media

Access is granted for individual, personal use only, unless otherwise agreed to in writing.

3. Limited License

Advance NIL grants you a non-transferable, non-exclusive, revocable license to access the purchased educational content solely for your personal educational use.

This license terminates immediately upon violation of this Agreement.

4. No Redistribution or Institutional Use

Purchase of Advance NIL content does not grant permission for:

Team-wide use
School-wide distribution
Group screenings
Institutional training
Coach-led or advisor-led sessions

Organizations seeking institutional access must contact Advance NIL directly for licensing options.

5. No Guarantees or Earnings Claims

Advance NIL makes no guarantees regarding:

NIL earnings
Deal acquisition
Brand partnerships
Athletic or recruiting outcomes

Results vary based on individual effort, decision-making, eligibility and external factors beyond Advance NIL’s control.

6. Educational Disclaimer

All content is provided for informational and educational purposes only.

Advance NIL is not acting as your agent, attorney, accountant, financial advisor, or compliance officer. You are solely responsible for your decisions and actions related to NIL.

7. Assumption of Responsibility

You acknowledge that participation in NIL activities involves personal, financial, and reputational considerations. You agree to assume full responsibility for decisions made based on the education provided.

8. Access & Termination

Advance NIL reserves the right to suspend or terminate access to content without refund if this Agreement is violated, including unauthorized sharing or misuse of materials.

9. Refund Policy

Due to the digital and on-demand nature of Advance NIL content, all sales are final unless otherwise stated in writing.

10. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of the state in which Advance NIL operates, without regard to conflict of law principles.

11. Acceptance

By completing your purchase or accessing Advance NIL content, you acknowledge that you have read, understood, and agreed to this Educational Services Agreement.
